1. Agreement to Terms

These Terms & Conditions ("Terms") govern your use of the Higher Realms Digital website and the purchase of services offered by Higher Realms Digital, owned and operated by Ericka Allen ("we," "us," or "our").

By accessing our website, booking a call, or purchasing any service, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

Higher Realms Digital provides AI automation systems, custom software and mobile app development, and technology advisory services for business owners. Current offerings:

• AI Strategy Session · $500 · 90-minute strategy call

• Engineering Scoping Session · $750 · 90-minute scoping interview with a written build plan delivered within one week

• Foundational Sprint · $2,500 · two-week audit, roadmap, and Business Brain setup

• Launchpad · $5,000 · one-month engagement: Foundational Sprint plus first automation build

• Core Retainer · $3,000/month · one automation build per month

• Maintenance Retainer · $1,500/month · support and optimization of existing systems, no new builds

• Build Sprint · $5,500 single, $4,500 each for two or more prepaid · two-week engineering sprint

• Sprint Retainer · $4,000/month (one sprint) or $6,000/month (two sprints)

• Store Launch · $2,500 both app stores, $1,500 one store · app store submission add-on

• Fractional CTO · starting at $6,000/month · advisory engagement

• 15-Minute Fit Call · free · available through referral partner introductions only
  

Service descriptions, deliverables, and timelines for custom engagements will be confirmed in a separate written agreement or proposal prior to work beginning.

3. Payment Terms

Payment is due at the time of booking or prior to the commencement of services, unless otherwise agreed in writing. All prices are listed in U.S. dollars.

Payments are processed through HighLevel with Stripe. Work on a sprint, session, or retainer month does not begin before its invoice is paid.

• Sessions (AI Strategy, Engineering Scoping): paid at booking

• Foundational Sprint: paid in full at booking

• Launchpad: $2,500 to reserve and begin the audit, $2,500 due before build week begins

• Core Retainer, Maintenance Retainer, Sprint Retainers, Fractional CTO: monthly in advance

• Single and add-on Build Sprints: paid in full at booking

• Prepaid sprints: paid in full at purchase. Two sprints are valid 90 days, three or more are valid 120 days. Non-refundable. Unused sprints convert to credit on any other service within the validity window.

• Store Launch: paid in full before submission work begins

For custom or ongoing engagements, payment schedules will be outlined in the applicable project agreement. We reserve the right to pause or discontinue work if invoices remain unpaid past their due date.

4. Session Credits

The AI Strategy Session fee is credited in full toward a Foundational Sprint, Launchpad, or Fractional CTO first month booked within 30 days of the session. The Engineering Scoping Session fee is credited in full toward any sprint or bundle booked within 30 days of scope document delivery.

5. Refund & Cancellation Policy

Paid sessions: full refund if cancelled 24 or more hours before the session. Cancellations within 24 hours and no-shows are non-refundable. One reschedule is allowed with at least 12 hours notice.

Foundational Sprint and Launchpad: refundable in full before work begins. Once work begins, fees are non-refundable.

Retainers: every retainer carries 30 days written notice, and the notice month is billed. If an engagement with a minimum term ends early, work already delivered is re-billed at the non-retainer rate and the difference is due with the final invoice.

Retainer payment timing: retainer invoices are due on the monthly renewal date, and the month's work begins when payment is received. Within a 7-day grace period, the month compresses - the build starts when payment lands and deliverables shift with it. Past 7 days, the month's sprint slot is released to other clients and the engagement pauses. An invoice unpaid past 14 days is treated as notice of cancellation, the 30-day notice clause applies with the notice month billed, and any early-exit true-up from a minimum term applies as written. Failed automatic payments are retried by the payment processor, and Ericka will reach out personally after the first failure.

Store Launch: includes up to two rejection rounds per store. A rejection caused by a scope or feature change is a new sprint, not a rejection round. A third rejection round for anything else is $500.

6. Client Responsibilities

Clients provide accurate information, timely responses, and the access needed to deliver the work. Client-owned accounts (Airtable, n8n, app store developer accounts, and similar) are opened and paid for by the client, who owns them and their data. For app store launches, the client owns both developer accounts, adds Higher Realms Digital as an admin, and recruits her own closed-testing testers from a provided template. Delays caused by missing access or unanswered decisions do not extend paid timelines or warrant refunds.

7. Acceptable Use

Users may not access others' accounts, reverse-engineer the services, violate applicable law, connect unauthorized third-party accounts, share credentials, harass others, or use the services for automated, bulk, or resale purposes without written consent. Violations may result in suspension without refund.

8. Intellectual Property

Website content belongs to Higher Realms Digital. Custom deliverables become client property on full payment unless the project agreement says otherwise. Higher Realms Digital retains its methodologies, templates, and internal tooling, including the Business Brain template; clients receive full rights to use their own installed and customized copy. Third-party platforms remain subject to their own terms.

9. Confidentiality

We treat all client information with discretion. We will not share your business details, strategies, or proprietary information with third parties without your consent, except as required to deliver our services (e.g., with platform providers) or by law.

We ask that you treat any proprietary processes, templates, or systems we share with you in the same way.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be error-free, uninterrupted, or that results will meet any specific expectation.

Results from our services depend on many factors outside our control, including your business, your audience, and your follow-through. We do not guarantee any specific business outcome.

11. Limitation of Liability

To the fullest extent permitted by law, Higher Realms Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services or website.

Our total liability for any claim arising from a specific engagement shall not exceed the total amount you paid for the services giving rise to the claim. For recurring subscription services, this means the total amount paid in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Higher Realms Digital, its owner, employees, and contractors from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Indiana, without regard to its conflict of law provisions.

In the event of a dispute, we encourage you to contact us first at [email protected] so we can work toward a resolution in good faith. If a dispute cannot be resolved informally, it shall be subject to binding arbitration or the exclusive jurisdiction of the courts located in Clark County, Indiana.

14. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will update the Effective Date at the top of this page. Continued use of our website or services after any changes constitutes your acceptance of the revised Terms.

For material changes, we will make reasonable efforts to notify active clients via email.
